Register a Business

The process of registering a new business in Sarawak differs from that in Peninsular Malaysia.

Instead of registering through the Companies Commission of Malaysia (SSM), business registration in Sarawak is handled by the Inland Revenue Board (LHDN). Please note that LHDN does not currently offer an online registration process.

Business activities in Sarawak are regulated under the Business Names Ordinance and the Business, Professions and Trade Licensing Ordinance.

Registration Process

The business registration process in Sarawak typically requires approximately three weeks to complete. The following are the steps involved in registering a business in Sarawak:

Business Name

Please prepare at least three potential business names for registration with LHDN. Ensure that these names are verified at the Business Name Search Counter at LHDN offices.

Business Address in Sarawak

The following documents are required to establish proof of your business in Sarawak: a stamped Tenancy Agreement or Sales and Purchase Agreement, Lease of Land, and Land Title.

Nature of Business and Documents

This will determine any additional documents needed for registration. For instance, the Trade Licence Application Form (Borang IRD No.8), Business Names Ordinance Form (Borang R20), and Borang TL from the Department of Statistics.

Please ensure that you create a business stamp that includes the full commercial address, and prepare the necessary documents for submission at LHDN.

Minimum Paid-Up Capital Requirement For Companies

Only companies that meet the minimum paid-up capital requirements will be considered for approval for the commercial officer position.

The equity minimum paid-up capital requirements are as follows:

  • 100% Malaysian-owned: RM 250,000.00
  • Joint Venture (Foreign and Local Ownership): RM 350,000.00
  • 100% Foreign-owned: RM 1,000,000.00

ESSENTIAL REQUIREMENT

Joint venture companies and wholly foreign-owned companies are required to provide evidence of paid-up capital expenditures (e.g., current annual financial statements of the company) to verify that these expenditures have been allocated within the State of Sarawak. Examples of such expenditures include office renovations, asset purchases, and other related activities. This documentation is also necessary for the renewal of applications.
